Supplier (Hotel) Terms (annex to the Platform Terms). Contract formation follows the single sequence in Platform Terms clause 3; nothing in these Supplier Terms varies it. The contracting supplier is the legal entity identified in the supplier account, which may own or operate one or more properties. By accepting these terms you warrant that you have authority to bind that legal entity. 1. Offer accuracy. Offers and quotes must be accurate and complete. 2. Operator-seeded offers. Where an operator seeds an indicative offer on your behalf, it is not binding on you and no commission is payable in respect of it until an authorised user for your supplier legal entity accepts these Supplier Terms (Platform Terms 3(a)). If a buyer awards a seeded offer you have not confirmed, the award is recorded but does not bind you, and no commission is invoiced, unless and until you confirm (Platform Terms 3(d)). 3. Binding offers. Offers and bids you submit or confirm are binding on you as offers capable of being awarded; prices may move down only during a reverse auction and may not be increased after submission. An award commits both sides to proceed in good faith to a booking contract on the awarded terms; the booking contract itself is formed directly between you and the buyer on your terms (Platform Terms 3(b), 3(c), 3(e)). 4. Commission. Once confirmed, you agree to pay RFPVenue a commission of 10% of awarded value, exclusive of VAT. "Awarded value" means the comparable total of the awarded offer version as at the moment of award, exclusive of VAT, as recorded on the savings proof issued for that award. Where an award is superseded or re-awarded, awarded value is that of the award actually proceeded with. Commission is invoiced after the event and payable within 30 days of the invoice date; overdue amounts accrue statutory interest under the Late Payment of Commercial Debts (Interest) Act 1998 (8% above the Bank of England base rate), together with the fixed sum compensation due under section 5A of that Act (£40, £70 or £100 according to the size of the debt) and, where our reasonable costs of recovering the debt exceed that fixed sum, the balance of those costs. 5. Cancellation & clawback. If an awarded event is cancelled, commission is charged only on any cancellation fee actually paid to you by the buyer (i.e. on your realised revenue), not on the original awarded value; commission already invoiced is credited accordingly. 6. Verified reviews. You consent to publication of verified post-event reviews. 7. No circumvention. A buyer and a hotel are "introduced" when that hotel's offer for a brief is first disclosed to that buyer through the platform. For 12 months from the introduction, the buyer and the hotel must not contract outside the platform for the meeting or event covered by that brief (including an event that is substantially the same as to dates, location and delegate numbers) where the effect is to avoid commission. This restriction applies only to that event: it does not restrict either party from dealing with the other for any other business, at any time. If it is breached, commission of 10% of the value that would have been the awarded value is payable and recoverable as a debt. This clause survives termination of these terms. Your account may also be suspended or terminated for breach of this clause.
